These Terms and Conditions ("Terms") govern your use of ABS Cohort's website and services. By engaging our services or using our website, you agree to be bound by these Terms. If you disagree, please do not use our services.
ABS Cohort provides eCommerce management services including Amazon FBA management, Walmart marketplace management, TikTok Shop management, eBay and Etsy management, OnBuy management, and web/SaaS development services.
The specific services, deliverables, and pricing applicable to your engagement are set out in your individual service agreement or proposal, which forms part of these Terms.
For management services, fees are calculated as a percentage of monthly gross sales revenue and invoiced monthly in arrears. Payment is due within 7 days of invoice.
For development projects, 50% is payable upfront before work commences, and 50% upon project delivery. Ongoing retainer services are billed monthly in advance.
Late payments may incur interest at 8% per annum above the Bank of England base rate (UK clients) or 1.5% per month (US clients).
Upon full payment, all deliverables created specifically for you (website code, designs, content) become your property. ABS Cohort retains ownership of all pre-existing tools, methodologies, processes, and general know-how.
You grant ABS Cohort a non-exclusive licence to use your brand assets, account credentials, and content solely to provide the agreed services.
Both parties agree to keep confidential all non-public information received from the other party in connection with these services. This obligation survives termination for 3 years.
While we have achieved significant results for clients (as shown in our case studies), we cannot guarantee specific revenue, profit, or growth outcomes. Results depend on many factors including market conditions, product selection, capital invested, and platform algorithm changes. Past client results are not guarantees of future performance.
To the maximum extent permitted by law, ABS Cohort's total liability to you for any claim arising from or related to these Terms or our services shall not exceed the total fees paid by you to us in the 3 months preceding the claim.
ABS Cohort shall not be liable for any indirect, incidental, special, or consequential damages including lost profits, loss of data, or business interruption.
Either party may terminate management services with 30 days written notice. Development project agreements may be terminated by either party with 14 days written notice; you will be charged for work completed to the termination date.
ABS Cohort may terminate services immediately if you breach these Terms, fail to pay, or engage in activities that violate marketplace platform policies.
These Terms are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
We reserve the right to update these Terms. Continued use of our services after changes constitutes acceptance of the new Terms. We will provide 30 days notice of material changes.
